Terms of Use

Effective Date: September 17, 2026

Welcome to Helpful-Geeks.com (the “Platform”, owned and operated by CoStudy OÜ, located at Männiku tee 106, Nõmme linnaosa, Harju maakond, Tallinn, Estonia). These Terms of Use (“Terms”) govern your access to and use of the Platform and its tutoring, mentoring, educational guidance, consulting, and related support services (collectively, the “Services”). “We,” “our,” and “us” refer to the operators of the Platform. “User,” “client,” and “you” refer to any person who accesses or uses the Services.

By accessing the Platform or purchasing or using the Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you should not use the Platform or Services.

1. Educational Support Services

The Platform provides educational support designed to help users improve their knowledge, understanding, skills, and confidence.

Services may include one-to-one tutoring, explanations of concepts, mentoring, research guidance, brainstorming, study strategies, feedback, and consultations.

The Services are intended for educational and informational purposes. Users remain responsible for their own decisions, learning activities, and any content they choose to submit to an educational institution or other third party.

2. Scope of Services

The type and extent of support provided depend on the user’s request, subject area, learning level, complexity, requested timeframe, and Tutor availability.

We may decline a request when it falls outside the Platform’s scope, cannot reasonably be provided within the requested schedule, or conflicts with these Terms or applicable law.

3. Tutors

Tutors providing Services through the Platform are independent contractors and are not employees of the Platform.

Tutors are selected based on relevant qualifications, knowledge, experience, and suitability for particular areas of educational support. We may assign or replace a Tutor when reasonably necessary to provide appropriate assistance.

4. Communication Methods

Users may communicate with our support team or Tutors through communication methods made available by the Platform, which may include website forms, live chat, email, telephone, SMS, WhatsApp, or other supported channels.

Users are responsible for providing accurate contact information and monitoring their selected communication channels.

5. Service Timeframes

Any timeframe communicated for providing Services is based on the request details available at that time. Users should provide complete and accurate information as early as reasonably possible.

Changes to request details, delayed responses, additional requirements, technical issues, or circumstances beyond our reasonable control may affect the expected schedule. We will make reasonable efforts to provide Services within the agreed timeframe but do not guarantee a particular delivery time unless expressly confirmed.

6. User Eligibility

You must be at least 18 years old to independently purchase or use paid Services.

A person under 18 may use the Services only with the involvement and authorization of a parent or legal guardian where permitted by applicable law.

By using the Services, you represent that you have the legal capacity and authority necessary to agree to these Terms.

7. User Responsibilities

Users agree to:

  • provide accurate and sufficient request details;
  • communicate respectfully with Tutors and support personnel;
  • use the Services only for lawful and legitimate educational purposes;
  • review and evaluate any guidance or feedback received;
  • comply with applicable laws and relevant institutional rules and policies; and
  • remain responsible for their own decisions and use of the Services.

We are not responsible for consequences resulting from inaccurate or incomplete information supplied by a user.

8. Intellectual Property Rights

The Platform, including its branding, design, text, graphics, software, and other proprietary content, is owned by or licensed to us and is protected by applicable intellectual property laws.

Users retain ownership of content they provide to us. By providing such content, users grant us and the relevant Tutor a limited right to access and use it solely as reasonably necessary to provide the requested Services and operate the Platform.

Nothing in these Terms transfers ownership of the Platform’s intellectual property to a user.

9. Responsible Use of Services

The Services are intended to support learning, understanding, skill development, and informed decision-making.

Users must not use the Platform to facilitate unlawful conduct, violate institutional requirements, impersonate another person, infringe third-party rights, interfere with Platform security, or misuse the Services.

Educational institutions may have different rules concerning tutoring, external assistance, editing, research support, and other forms of guidance. Users are responsible for understanding and following the rules that apply to them.

10. Payments

Full payment may be required before Services begin.

Available payment methods may include major credit cards, debit cards, Apple Pay, Google Pay, and other payment methods displayed during checkout.

Pricing may depend on factors including the complexity of the request, subject area, amount of assistance required, Tutor expertise, and requested timeframe. The applicable price will be communicated before payment is confirmed.

All charges are processed in U.S. Dollars (USD) unless expressly stated otherwise.

11. Refund Policy

Users may request a refund by contacting our support team and providing sufficient information to identify the relevant payment and explain the reason for the request.

Each refund request is reviewed individually. We may consider the nature of the concern, the Services already provided, communications between the parties, the original request details, and other relevant circumstances.

A refund may be considered when Services were not provided as agreed, a significant service issue could not reasonably be resolved, a request was canceled before substantive assistance began, or another circumstance reasonably supports a refund.

Duplicate payments are refundable after verification.

A refund may be denied when the Services were provided substantially as agreed, the concern results from inaccurate or incomplete information supplied by the user, the user materially changed the request after Services began, the user failed to cooperate or respond as reasonably necessary, or the request otherwise falls outside the applicable refund conditions.

Refunds are evaluated case by case and are not automatic. Where appropriate, we may first offer to address a concern through additional clarification, feedback, or reasonable follow-up adjustments.

Users should contact our support team and allow a reasonable opportunity to investigate and resolve a billing or service concern before initiating a chargeback or payment dispute. This does not limit any rights available under applicable law.

12. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

We do not guarantee any particular educational result, grade, assessment outcome, admission decision, professional result, or other specific outcome from using the Services.

We do not warrant that the Platform will always be uninterrupted, error-free, secure, or available at all times.

Users remain responsible for evaluating the guidance received and ensuring that their use of the Services complies with applicable laws and institutional policies.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE, OUR AFFILIATES, AND OUR RESPECTIVE OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE PLATFORM OR SERVICES.

To the maximum extent permitted by law, our aggregate liability arising from a particular claim will not exceed the amount paid by the user for the Services directly giving rise to that claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless us and our affiliates, personnel, and contractors from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Platform, violation of these Terms, or infringement of another person’s rights.

15. Third-Party Services

The Platform may use or link to third-party services, including payment processors, communication providers, hosting services, and external websites.

Third-party services operate under their own terms and privacy practices. We are not responsible for the availability, content, security, or independent conduct of third-party services beyond the extent required by applicable law.

16. Suspension and Termination

We may restrict, suspend, or terminate access to the Services when a user materially violates these Terms, misuses the Platform, engages in fraudulent or unlawful activity, threatens Platform security, abuses Tutors or support personnel, or fails to make a required payment.

Where reasonably appropriate, we may provide an opportunity to resolve the issue before restricting access.

Provisions that by their nature should survive termination will remain effective.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, business practices, legal requirements, or Platform functionality.

Updated Terms will be posted on the Platform with an updated effective date where appropriate. Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Before beginning formal legal proceedings, you and we agree to make a reasonable good-faith effort to resolve the dispute informally. A party raising a dispute should provide written notice describing the issue and requested resolution. The parties will then have 30 days from receipt of the notice to attempt an informal resolution.

If the dispute cannot be resolved informally, either party may pursue available remedies in a court or through another dispute resolution procedure where mutually agreed or required by applicable law.

Nothing in these Terms prevents a user from exercising rights or remedies that cannot legally be waived.

19. Severability and Entire Agreement

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary. The remaining provisions will continue in effect.

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and us concerning your use of the Platform and Services and supersede prior communications concerning the same subject matter.

20. Contact Information

Questions, concerns, refund requests, or notices regarding these Terms may be submitted through the Platform’s available support channels.
